Terms of Service

The Client must provide the Artist with clear and complete requirements and expectations regarding the commission details before Work begins.

The Client grants non-exclusive rights to the Artist to replicate the Client’s character design, reference material, and other intellectual property, along with a warrant that the Client truly has authorized use of it, provided to the Artist for the Work.

The Artist will strive to perform to their best ability in good faith and warrant the originality of the Work.

The Artist may use materials, assets, and tools that will aid them in the process of creating the Work as long as they are copyright-free.

The Artist reserves the right to refuse the request based on any reason without the need to disclose such information.

The Artist defines the scope and details of the commission in a format according to the Artist’s discretion, including private messages on communication platforms (e.g., X/Twitter, Discord, VGen). The Client shall agree upon the details set forth by the Artist before work begins.

Work completion may take 2 weeks to 5 months, depending on the project.

Timeline depends on the commission type, complexity, and workload.

Final deliverables are provided by the Artist through a Google Drive file in PNG or other formats as requested by the Client and will always be available to the Client for download, unless communicated otherwise.

The Artist must inform the client of any delays or deadline adjustments regarding the process of the Work.

The client has the right to request refunds if the Artist has not given any update on the Work after 3 months, and there was no agreed-upon estimated deadline adjustment.

Ongoing communication and discussion will occur throughout the process in communication channels at the Artist’s discretion and where the main communication regarding project updates occurs. (e.g., email, private messages on X/Twitter, Discord, and Facebook)

Artist and Client agree to discuss matters related to the project, including the right to decline to discuss topics unrelated to the project on these respective communication channels.

Artist response time may vary, but an update every 1-2 weeks at minimum regarding the commission.

The Client is only allowed to request minor revisions and corrections during the creation process of the Work after they have approved the Artist’s thumbnail sketch and have paid upfront.

The Client is not allowed to do any edits on the Work after its final delivery unless approved by the Artist with their own conditions.

By default, the Artist retains full copyright, ownership, redistribution, and intellectual property rights over the Work.

The Client can only obtain rights to the work for Personal use (as of the date this TOS was published). This means they may use it on social media for profile pictures, banners, and posts, and for print and display in personal spaces and any other activities as long as the Client does not derive any direct monetization and sales that involve the usage of the Work.

Usage of Work for AI (artificial intelligence) tools, platforms or programs; ML (machine learning) tools, platforms or programs; AI or ML training; NFT; blockchain; or other for-profit platforms/purposes is strictly prohibited. (If you have read this far, it's TOSREADER!!)

Client must pay upfront once/before they have approved the sketch thumbnail of the Work; otherwise, actual progress on the Work will not start. Cancellation of the project will automatically occur if there is no action to pay within 1 month.

International Clients can only request and pay on VGen through its payment system.

GCash paying clients in PHP currency must communicate only on the Artist’s DMs and can only receive a QR code to pay through (unless communicated otherwise).

A 50% partial refund based on the Total Price can only be availed at the Base Coloring Stage of the Work’s progress. No refund can be availed once the process is further along after that stage, and when the work is completed.

Prices may vary depending on the services provided, complexity, and/or additional requests.

Once Work has begun or payments have been made, the Client acknowledges that Work and deliverables are digital and there are no physically shipped goods to receive.

If the Commission involves 2 or more characters, there will be a discount of 10% off the total price, automatic on the Artist’s end in the calculation.

The discount codes offered by the Artist are not cumulative or added up to one another. The discount rate from the discount codes is separate from the 2-or-more-character discount.

The Pubmat version of the TOS discount code can only be used once.

The Carrd version of the TOS discount code can only be used once.

A Loyalty discount code is available to clients for every 3 commissions they make with the Artist. With the usage to be applied to 2 commissions only with the Artist.

The Client must send the code in their respective communication channel (Vgen form or DMs) to avail of the discount.

The Artist and Client acknowledges that information and materials that are provided to either party (including but not limited to personal information, technical information, marketing plans, payment information, or sensitive business information) outside of the development of Work, that will not be visible to the public, shall be considered confidential information and shall not be disclosed to any other party without prior written permission from the owner of this confidential information.

Client indemnifies Artist against claims, losses, damages, and expenses related to Work usage by the Client, breach by the Client of the Agreement, or third-party claims.

If Client's rights and the terms of this agreement are violated or the Work is not delivered as agreed, due to Artist's negligence, Artist will work to remedy the situation first according to the terms aforementioned and otherwise to the satisfaction of the Client.

The Artist can post the commission on their social media platforms by tagging the client and including it in a Collage of Commissions for portfolio purposes.

The Client can post their requested commission on their social media platforms as long as there are proper credits to the Artist.

The Client and Artist must use the version of the commission with the commission watermark for posting on social media platforms.
